Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CommiFlow platform (the “Service”), operated by CommiFlow (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization (an insurance agency), you represent and warrant that you have the authority to bind that organization to these Terms.

1Service Description

CommiFlow is a SaaS platform designed for independent insurance agents and small agencies in the United States. The Service provides:

• AI-powered parsing of carrier commission statements (PDF, Excel, CSV)
• Commission tracking and reconciliation against active policies
• Missing and underpaid commission detection
• Producer split management and statement generation
• Commission reporting and analytics
• Dispute export generation for carrier communication

2Account Registration and Security

To use the Service, you must create an account and provide accurate, complete information.

• You are responsible for maintaining the confidentiality of your account credentials.
• You must immediately notify us of any unauthorized access to your account.
• You are responsible for all activities that occur under your account.
• One agency account represents one business entity (tenant). All data within an agency is shared among its authorized users based on their role (Admin, Producer, Viewer).
• Admin users may invite additional team members. You are responsible for all users you invite and their actions on the Service.

3Subscription Plans and Billing

3.1 Plans and Pricing

The Service is offered through tiered subscription plans:

3.2 Free Trial

New accounts begin with a 14-day free trial. No credit card is required for the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will be restricted until you select a plan.

3.3 Billing

• All paid plans are billed monthly in advance via Stripe.
• Prices are quoted in US Dollars (USD) and are exclusive of applicable taxes.
• You authorize us to charge the payment method on file for recurring subscription fees.
• If a payment fails, we will attempt to charge the payment method again. If payment continues to fail, your account may be downgraded or suspended.

3.4 Plan Limits

Each plan has limits on the number of carriers, producers, and team members. If you exceed these limits, the Service will prompt you to upgrade. You will not lose existing data if you exceed limits, but you will be unable to create new resources beyond the plan cap until you upgrade.

4Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Upload files containing malware, viruses, or malicious code
• Attempt to gain unauthorized access to other agencies' data or to the Service's underlying infrastructure
• Reverse-engineer, decompile, or disassemble the Service
• Use automated scripts, bots, or scraping tools to access the Service without our prior written consent
• Resell, sublicense, or redistribute the Service without authorization
• Interfere with or disrupt the integrity or performance of the Service
• Upload content that infringes on third-party intellectual property rights
• Share your login credentials with individuals outside of your authorized agency team

5Your Data and Intellectual Property

5.1 Ownership

You retain all ownership rights to the data you upload and create in the Service, including commission statements, policy data, and reports. We do not claim ownership of your data.

5.2 License to Us

You grant us a limited, non-exclusive, worldwide license to use, process, and store your data solely to provide, maintain, and improve the Service. This includes processing your uploaded statement files through our AI parsing pipeline.

5.3 Data Portability

You may export your commission records, transaction ledger, and reports in CSV and Excel formats at any time through the Service's export features.

5.4 Data Immutability

Confirmed commission transactions are immutable financial records. Once a statement is confirmed, the financial fields of its transactions (commission amounts, premium, rates) cannot be modified. This is by design for data integrity. Errors must be corrected through manual correction transactions, not by editing confirmed records.

6AI-Powered Features

The Service uses artificial intelligence (OpenAI GPT-4o) to parse commission statements. You acknowledge and agree that:

• AI parsing is provided as an assistive tool. Results may contain errors and should always be reviewed before confirmation.
• You are responsible for reviewing and verifying all AI-parsed commission data before confirming statements.
• We do not guarantee 100% accuracy of AI-generated outputs.
• Confirming a statement creates permanent financial records. This action is irreversible.
• Extracted text from your statement files is sent to OpenAI's API for processing but is not used to train AI models.

7Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to:

• Perform scheduled maintenance with reasonable advance notice
• Modify, update, or discontinue features of the Service
• Change pricing for future subscription periods with 30 days' notice
• Impose or adjust plan-tier limits

8Termination

8.1 By You

You may cancel your subscription at any time through the Stripe customer portal accessible from Settings → Billing. Your access will continue until the end of the current billing period.

8.2 By Us

We may suspend or terminate your access to the Service immediately if you:

• Violate these Terms or the Acceptable Use policy
• Fail to pay subscription fees after multiple billing attempts
• Engage in fraudulent or illegal activity

8.3 After Termination

Upon termination, your data will be retained for 90 days. During this period, you may contact us to request a data export. After 90 days, we will permanently delete your data from our systems, including uploaded statement files.

9Limitation of Liability

Specifically:

• We are not liable for financial losses resulting from inaccurate AI parsing of commission statements. You are responsible for reviewing parsed data before confirmation.
• We are not liable for missed commissions that the reconciliation engine does not detect. The Service is an assistive tool, not a guarantee of complete commission recovery.
• Our total liability to you for all claims arising from the Service shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

10Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that AI-generated parsing results will be accurate in all cases.

11Indemnification

You agree to indemnify and hold harmless CommiFlow and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction and venue therein.

13Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the updated Terms and/or notifying you by email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
